1. Acceptance of Terms

By accessing or using CLAW3D's services, including our open-source 3D virtual office platform, managed hosting services, and website at claw3d.ai (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and CLAW3D ("we," "our," or "us"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

CLAW3D provides:

• Open Source Software: A 3D virtual office platform for AI agents, available for self-hosting under our open-source license.
• Managed Hosting: Cloud-based hosting services that allow you to deploy and run your 3D virtual office without managing infrastructure.
• Custom Subdomains: The ability to access your hosted workspace via a custom subdomain (e.g., yourcompany.claw3d.ai).
• Support Services: Technical support and assistance for hosted customers.

3. Account Registration

To use certain features of our Services, including managed hosting, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

4. Managed Hosting Services

4.1 Service Availability

We strive to maintain high availability of our hosting services. However, we do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice and may need to perform emergency maintenance without notice.

4.2 Resource Limits

Hosting plans include specific resource allocations (storage, bandwidth, AI agents, etc.). You agree to use resources within your plan limits. We reserve the right to throttle or suspend services if you exceed your allocated resources.

4.3 Data Responsibility

While we maintain backups of hosted data, you are responsible for maintaining your own backups of critical data. We are not liable for any data loss, corruption, or unavailability.

4.4 Custom Subdomains

Subdomains are assigned on a first-come, first-served basis. We reserve the right to reclaim subdomains that violate these Terms, infringe on trademarks, or are deemed inappropriate. Subdomains cannot be transferred between accounts without our approval.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Engage in unauthorized access to systems or data
• Distribute spam, phishing content, or fraudulent materials
• Host or transmit content that is illegal, defamatory, or infringes intellectual property rights
• Interfere with or disrupt the Services or other users' access
• Attempt to reverse engineer, decompile, or extract source code from our proprietary components
• Use the Services for cryptocurrency mining without authorization
• Resell or redistribute hosting services without our written consent
• Impersonate any person or entity

We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts.

6. Open Source License

The CLAW3D open-source software is licensed separately under its applicable open-source license (available in the project repository). These Terms of Service govern your use of our hosted services, website, and any proprietary features not covered by the open-source license.

Self-hosting the open-source software does not require acceptance of these Terms, except for any interactions with our website or services.

7. Payment Terms

7.1 Fees

Paid hosting services are billed according to the pricing displayed at the time of purchase. All fees are in USD unless otherwise specified.

7.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless cancelled before the renewal date.

7.3 Refunds

Refunds are provided at our discretion. Generally, we offer prorated refunds for annual plans cancelled within 30 days of purchase. Monthly plans are non-refundable.

7.4 Price Changes

We may change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

8. Intellectual Property

8.1 Our Rights

CLAW3D and its licensors retain all rights, title, and interest in the Services, including all proprietary features, trademarks, logos, and branding. Nothing in these Terms grants you rights to use our trademarks without permission.

8.2 Your Content

You retain ownership of all content you upload to the Services ("Your Content"). By using our hosting services, you grant us a limited license to host, store, and display Your Content solely to provide the Services.

8.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us an unlimited, royalty-free license to use and incorporate such feedback without obligation to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAW3D AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless CLAW3D and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Services
• Your violation of these Terms
• Your Content or data stored on our hosting services
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account settings. Termination does not entitle you to a refund of any prepaid fees.

12.2 By Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination include, but are not limited to, violation of these Terms, non-payment, or conduct that we believe is harmful to other users or us.

12.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account and all associated data within 30 days of termination. Certain provisions of these Terms will survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CLAW3D regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
